Terms of Service.

Founderfy is a local-first founder network designed to help founders meet potential cofounders, collaborators, builders, operators, and other people they may want to build with.

Founderfy is launching city by city, beginning in Portland, Oregon. Features, availability, and pricing may change as the Services develop.

To use Founderfy:

• You must be at least 18 years old.
• You must provide accurate information about yourself.
• You are responsible for keeping your sign-in credentials secure.
• You are responsible for activity that occurs through your account.
• You may not impersonate another person or misrepresent your identity or affiliation.
• Unless we approve otherwise, each person should maintain only one account.

If you believe your account has been accessed without authorization, contact us at founderfyco@gmail.com.

You retain ownership of the information, messages, photos, and other content you submit to Founderfy ("User Content").

By submitting User Content, you grant Founderfy a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and otherwise use that content as reasonably necessary to operate, provide, secure, and improve the Services.

For example, information you include in your founder profile may be displayed to other Founderfy users so that they can discover and learn about you.

You represent that you have the rights necessary to submit your User Content and that your content does not violate these Terms or the rights of another person.

This license ends when your content is deleted from our active systems, except where continued retention or use is reasonably necessary for legal, security, backup, fraud-prevention, or enforcement purposes.

Founderfy depends on members being able to interact with each other productively and safely.

You may not use Founderfy to:

• harass, threaten, abuse, or engage in hateful conduct toward another person;
• impersonate another person or organization;
• send spam or engage in abusive unsolicited recruiting, fundraising, promotion, or solicitation;
• scrape, crawl, copy, or systematically collect Founderfy profiles, content, or contact information without our permission;
• share another user's private messages or non-public information without authorization;
• interfere with or attempt to compromise Founderfy's systems, security, or operation;
• use Founderfy for fraudulent, deceptive, or unlawful purposes; or
• help another person engage in prohibited activity.

We may remove content, restrict features, cancel meetup participation, suspend accounts, or terminate access where we reasonably believe it is necessary to enforce these Terms, protect users, or maintain the integrity of the network.

Founderfy may organize, recommend, facilitate, or provide access to founder meetups and other in-person events.

Capacity may be limited, and invitations or recommendations may be based on factors such as location, availability, profile information, interests, goals, or potential relevance to other attendees.

An RSVP is a commitment to attend. If you cannot attend, please cancel or notify us in advance. Repeated no-shows may affect your ability to participate in future Founderfy meetups.

Founderfy does not guarantee the identity, background, conduct, qualifications, compatibility, or intentions of another attendee.

You are responsible for exercising appropriate judgment when meeting or deciding to work with people you encounter through Founderfy.

We may send you service-related emails regarding your account, security, waitlist status, early access, availability of Founderfy in your city, meetups, and other Services you request.

Where permitted by law and consistent with your communication preferences, we may also send promotional emails.

You can unsubscribe from promotional emails using the unsubscribe link included in those messages. You may continue to receive non-promotional emails necessary to operate your account or provide Services you requested.

If you voluntarily opt in to Founderfy SMS communications, Founderfy may send you text messages regarding your waitlist status, early access, availability of Founderfy in your city, and other Founderfy updates covered by the consent you provided.

Message frequency varies. Message and data rates may apply.

Consent to receive SMS messages is not a condition of purchasing any goods or services, joining the Founderfy waitlist, creating a founder profile, or otherwise using Founderfy.

You may opt out at any time by replying STOP to a Founderfy text message.

Wireless carriers are not responsible for delayed or undelivered messages.

Your use of Founderfy SMS communications is also subject to our Privacy Policy.

Founderfy helps people discover and meet other founders. We do not guarantee that you will:

• find a cofounder or collaborator;
• receive a particular match or introduction;
• be invited to a particular meetup;
• form a successful working relationship;
• raise capital;
• obtain employment or investment; or
• build a successful company.

Founderfy does not endorse, employ, represent, or act as an agent for users simply because they appear on the Platform.

Unless we expressly state otherwise, Founderfy does not perform comprehensive identity, criminal, professional, financial, or background checks on users.

Any decision to communicate with, meet, hire, invest in, work with, start a business with, or otherwise enter into a relationship with another user is your responsibility.

Founderfy is an evolving product.

Features may be added, modified, limited, interrupted, or removed. We do not guarantee uninterrupted availability, a particular feature, a specific founder match, or a particular meetup.

We may modify the Services as Founderfy develops.

Some Founderfy Services may currently be offered without charge.

We may introduce subscriptions, event fees, or other paid features in the future. If we do, applicable pricing and payment terms will be disclosed before you purchase the relevant Service.

We will not charge you for a paid Service without your authorization.

Founderfy and its software, branding, designs, logos, graphics, text, and other materials provided by us are owned by or licensed to Founderfy and are protected by applicable intellectual-property laws.

These Terms do not give you ownership of Founderfy's intellectual property.

You may not copy, modify, distribute, sell, license, reverse engineer, or commercially exploit Founderfy or our proprietary materials except as permitted by law or with our written permission.

You may delete your Founderfy account at any time through the Platform where account-deletion functionality is available, or by contacting founderfyco@gmail.com.

Account deletion and treatment of associated personal information are described further in our Privacy Policy.

We may suspend, restrict, or terminate your account if you violate these Terms, create risk or potential legal exposure for Founderfy or other users, misuse the Services, or engage in conduct that threatens the integrity or safety of the Founderfy community.

To the maximum extent permitted by applicable law, Founderfy and the Services are provided "as is" and "as available."

We make no guarantee that the Services will be uninterrupted, error-free, secure, or meet your expectations.

Founderfy makes no warranty regarding the accuracy, reliability, qualifications, conduct, compatibility, or identity of users or information they provide.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Founderfy will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business opportunities arising from or related to your use of the Services.

To the maximum extent permitted by law, Founderfy's total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

1. the amount you paid Founderfy during the 12 months immediately preceding the event giving rise to the claim; or
2. $100.

These limitations apply to the maximum extent permitted by applicable law and do not limit liability that cannot legally be limited or excluded.

To the extent permitted by applicable law, you agree to indemnify and hold Founderfy harmless from claims, liabilities, damages, losses, and reasonable expenses, including reasonable attorneys' fees, arising from:

• your violation of these Terms;
• your User Content;
• your misuse of the Services; or
• your violation of another person's rights.

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

To the extent a dispute may be brought in court, you and Founderfy agree to the jurisdiction of the state and federal courts located in Multnomah County, Oregon, except where applicable law provides otherwise.

We may update these Terms as Founderfy and the Services evolve.

If we make material changes, we may provide notice through the Platform, by email, or by other reasonable means.

The updated Terms will identify their new "Last Updated" date.

Your continued use of Founderfy after updated Terms become effective constitutes acceptance of the revised Terms where permitted by applicable law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.

These Terms, together with our Privacy Policy and any additional terms presented for a specific Founderfy feature or service, constitute the agreement between you and Founderfy regarding your use of the Services.
